Acceptance of Terms

By accessing or using the QWQ platform, website (qwqco.com), mobile applications, APIs, or any related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and QWQ ("Company," "we," "us," or "our"). By creating an account, subscribing to any plan, or otherwise using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into this agreement.

Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes.

Description of Service

QWQ provides an AI-powered platform that offers the following:

• Trading signals and alerts — automated notifications based on algorithmic analysis of options markets, focused on put-selling strategies.
• Educational content — articles, tutorials, videos, and resources designed to help users understand options trading concepts and strategies.
• Market scanning tools — proprietary software that evaluates securities based on predefined criteria and scoring models.
• AI coaching — an artificial intelligence assistant that answers trading-related questions based on educational material.
• Portfolio tracking and trade journaling — tools to help users monitor and record their trading activity.
• Automated trading — for eligible subscribers, the ability to connect a brokerage account and enable AI-driven trade execution.

The Service is not financial advice. QWQ is not a registered investment advisor, broker-dealer, or financial planner. All signals, scores, content, and tools provided through the Service are for informational and educational purposes only. Account Registration and Responsibilities

To access certain features of the Service, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information to keep it accurate and complete.
• Maintain the security and confidentiality of your login credentials.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account or any other breach of security.

You may not share, transfer, or sell your account to any other person or entity. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being shared in violation of these Terms.

You are solely responsible for any trading decisions you make. QWQ does not manage your money, does not have custody of your funds, and does not guarantee any trading outcomes.

Subscription and Billing

Plans and pricing. QWQ offers multiple subscription tiers, including a free tier and paid plans billed on a monthly or annual basis. Current pricing is displayed on our Pricing page and may be updated from time to time.

Auto-renewal. All paid subscriptions automatically renew at the end of each billing cycle (monthly or annually) unless you cancel before the renewal date. By subscribing, you authorize QWQ to charge your designated payment method on a recurring basis at the then-current rate.

Cancellation. You may cancel your subscription at any time through your account settings or by contacting us at support@qwqco.com. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until your current billing period expires. No partial refunds are issued for unused time within a billing cycle, except as described in our Refund Policy.

Price changes. We reserve the right to modify subscription pricing. If we increase the price of your plan, we will provide at least 30 days' advance notice via email. Your continued subscription after the price change takes effect constitutes acceptance of the new price.

Payment processing. All payments are processed by Stripe, our third-party payment processor. QWQ does not store your credit card number or full payment details. By providing payment information, you agree to Stripe's terms of service.

Failed payments. If a payment fails, we may retry the charge and/or suspend your access to paid features until the balance is resolved. We will notify you via email of any payment failures.

Prohibited Use

You agree not to use the Service to:

• Violate any applicable local, state, national, or international law or regulation.
• Redistribute, resell, sublicense, or share any signals, content, or data from the Service with non-subscribers or third parties without prior written consent.
• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or proprietary methods used by the Service.
• Use automated scripts, bots, scrapers, or similar technology to access or extract data from the Service, except through our official API with valid credentials.
• Interfere with, disrupt, or place an undue burden on the Service's servers, networks, or infrastructure.
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.
• Upload or transmit viruses, malware, or any other malicious code.
• Use the Service to manipulate markets, engage in wash trading, spoofing, or any other form of market manipulation.
• Use any content from the Service to create a competing product or service.

Violation of these prohibitions may result in immediate termination of your account without refund and may subject you to legal liability.

Intellectual Property

All content, software, algorithms, models, designs, logos, trademarks, trade names, text, graphics, images, data compilations, and other materials available through the Service (collectively, "QWQ Content") are the exclusive property of QWQ or its licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and QWQ Content solely for your personal, non-commercial trading and educational purposes. This license does not include the right to:

• Copy, reproduce, distribute, or publicly display any QWQ Content beyond what is necessary for personal use.
• Modify, create derivative works from, or build upon any QWQ Content.
• Use QWQ's name, logos, or trademarks without prior written permission.

Any feedback, suggestions, or ideas you submit to QWQ may be used by us without restriction or compensation.

Limitation of Liability

This section is critically important. Please read it carefully.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QWQ, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or income (whether actual or anticipated).
• Loss of data, trading opportunities, or goodwill.
• Trading losses or financial losses of any kind.
• Damages arising from reliance on any signals, content, or tools provided by the Service.
• Damages arising from interruption, delay, or failure of the Service.
• Damages arising from unauthorized access to or alteration of your data or transmissions.

Options trading involves substantial risk of loss and is not suitable for all investors. You could lose your entire investment. Past performance of the QWQ system does not guarantee future results. You acknowledge that you use the Service at your own risk and that QWQ bears no responsibility for your trading outcomes.

IN NO EVENT SHALL QWQ'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO QWQ IN SUBSCRIPTION FEES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

QWQ does not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free.
• Trading signals or scores will be accurate, reliable, or profitable.
• Any particular trading outcome will be achieved.
• Defects in the Service will be corrected.
• The Service or servers that make it available are free of viruses or harmful components.

Any signals, analysis, scores, or educational content provided through the Service are generated by algorithms and artificial intelligence. They may contain errors, may be delayed, and should never be the sole basis for any trading decision. You are solely responsible for evaluating the merits and risks of any trade.

Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms.
• Engaging in prohibited use as described in Section 5.
• Non-payment of subscription fees.
• Request by law enforcement or government agencies.
• Discontinuation or material modification of the Service.
• Unexpected technical or security issues.

You may terminate your account at any time by contacting us at support@qwqco.com or through your account settings. Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes, as described in our Privacy Policy.

Sections 6 (Intellectual Property), 7 (Limitation of Liability), 8 (Disclaimer of Warranties), and 10 (Governing Law) shall survive termination of these Terms.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in the English language and the arbitral decision may be enforced in any court of competent jurisdiction.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against QWQ.

Changes to Terms

QWQ reserves the right to modify or replace these Terms at any time at our sole discretion. When we make material changes, we will:

• Update the "Last updated" date at the top of this page.
• Notify you via email or through a prominent notice within the Service at least 15 days before the changes take effect.

It is your responsibility to review these Terms periodically. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service and cancel your subscription.

General Provisions

Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Entire Agreement. These Terms, together with the Privacy Policy, Financial Disclaimer, and Refund Policy, constitute the entire agreement between you and QWQ regarding the use of the Service.

Waiver. The failure of QWQ to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms or your account without our prior written consent. QWQ may assign these Terms without restriction.
